Friends,

We are now opening the discussion and ratification of Goals. We have made Goals an unnumbered Article within the by-laws, and agreed that a few simple goals for 2005 should be a Resolution of the Membership. The article will be numbered when we finish the remainder of the by-laws. You can see the article and Resolution in context here, 6th post down.
Actual Document

We will discuss from Mon Jun 6 ~6:00pm GMT to Thur Jun 16 ~6:00pm GMT. We will vote from Thur June 16 ~6:00pm GMT to Sun Jun 26 11:59pm GMT.

The purpose of the discussion is to uncover controversial items and remove them before voting. Please speak freely. Thanks, Jn.

Article (.): Goals
The Board will develop goals once a year and post them where all members can read them.

It is resolved that our Goals for 2005 are:
1. To open the board to the public
2. To decide whether to move to our own site
3. If we move, to resolve the related ownership issues by the end of the calendar year.

Note: The actual goals are not part of the Charter per se but are recorded as “Resolutions of the Membership.” As a matter of record-keeping, Resolutions are usually kept in the same place as the Charter - for us that means they are typed in at the end of the Charter, and we add to them as new ones appear.

THIS VOTE WILL REMAIN OPEN until Sunday, June 26, 11:59 pm GMT

I don't have a problem with this ... but I'm curious ... what force of BB7 law do the goals as Resolutions of Membership actually have?

Is it just to have our goals on the record, or is it to somehow make sure these things get done?

Faramond, I don't think that these would be "enforceable" in any way. I don't see how they could be.

Yeah, I know what you mean about how they just couldn't be enforcable, Voronwe.

I guess I'm just always amused by these things that are passed but have no force of law, like US Congress voting to censure France or some other nonsense thing.

Not that these goals are nonsense ... maybe I'd better shut up now. :)

Resolutions of the membership usually affect procedures that are not covered in the by-laws, and are not put in the by-laws because they might have to be changed on short notice.

For example, if Voronwe's office becomes the address of record for the corp, we might have a resolution that reads like this:

It is resolved that annual server fees and domain name renewals may be paid by Voronwe or others in his office without presenting the invoice to the membership until the next director's meeting. However, single expenses in excess of $250 will require the presentation of invoice and the approval of the membership. [date]

Iin the case of goals, the membership cannot force itself to meet its goals, but if someone proposed a different goal that would interfere with these, we can rightly say, no, these have to be met first.

Resolutions do not typically require ratification - just a vote with a simply majority.

And again—look, if a whole bunch of "no" votes pop up after the quorum is reached, they could turn the vote around to "no."

All the quorum means is that the results are official—yes or no. Any vote that gets in before the deadline is never "too late." :)

We committee types note the quorums with pleasure because it means we won't have to hold the vote again. That's all! :)

We're especially pleased about these quorums because it means (given what the vote looks like) that we are very likely to be able to open Board77 to the public exactly when we hoped: a week from Sunday at midnight GMT. :cheers
